We are ControlAI, Inc ("Company," "we," "us," "our"). We operate the web application Wisent (the "App"), as well as any other related products and services that refer or link to these legal terms (the "Legal Terms") (collectively, the "Services"). These Legal Terms constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you"), and ControlAI, Inc, concerning your access to and use of the Services. You agree that by accessing the Services, you have read, understood, and agreed to be bound by all of these Legal Terms. IF YOU DO NOT AGREE WITH ALL OF THESE LEGAL TERMS, THEN YOU ARE EXPRESSLY PROHIBITED FROM USING THE SERVICES AND YOU MUST DISCONTINUE USE IMMEDIATELY. Supplemental terms and conditions or documents that may be posted on the Services from time to time are hereby expressly incorporated herein by reference. We reserve the right, in our sole discretion, to make changes or modifications to these Legal Terms from time to time. The Services are intended for users who are at least 18 years old. Persons under the age of 18 are not permitted to use or register for the Services.
The information provided when using the Services is not intended for distribution to or use by any person or entity in any jurisdiction or country where such distribution or use would be contrary to law or regulation. The Services are not tailored to comply with industry-specific regulations (HIPAA, FISMA, etc.), so if your interactions would be subjected to such laws, you may not use the Services. You may not use the Services in a way that would violate the Gramm-Leach-Bliley Act (GLBA).
We are the owner or the licensee of all intellectual property rights in our Services, including all source code, databases, functionality, software, website designs, audio, video, text, photographs, and graphics. Our Content and Marks are protected by copyright and trademark laws. Subject to your compliance with these Legal Terms, we grant you a non-exclusive, non-transferable, revocable license to access the Services and download or print a copy of any portion of the Content solely for your personal, non-commercial use. We reserve all rights not expressly granted to you. Any breach of these Intellectual Property Rights will constitute a material breach of our Legal Terms and your right to use our Services will terminate immediately.
By using the Services, you represent and warrant that: (1) all registration information you submit will be true, accurate, current, and complete; (2) you will maintain the accuracy of such information; (3) you have the legal capacity and agree to comply with these Legal Terms; (4) you are not a minor; (5) you will not access the Services through automated means; (6) you will not use the Services for any illegal purpose; and (7) your use will not violate any applicable law.
You may be required to register to use the Services. You agree to keep your password confidential and will be responsible for all use of your account and password. We reserve the right to remove, reclaim, or change a username if we determine it is inappropriate.
We accept payments using Stripe. You agree to provide current, complete, and accurate purchase and account information. We may change prices at any time. All payments shall be in US dollars. We reserve the right to refuse any order and to limit or cancel quantities purchased.
Your subscription will continue and automatically renew unless canceled. You consent to our charging your payment method on a recurring basis. The billing cycle is monthly. All purchases are non-refundable. You can cancel your subscription at any time by logging into your account. We may make changes to subscription fees and will communicate price changes in accordance with applicable law.
You may not access or use the Services for any purpose other than that for which we make the Services available. You agree not to: systematically retrieve data to create compilations without permission; trick or mislead us and other users; circumvent security features; disparage or harm us; harass or abuse others; use the Services inconsistent with laws; upload viruses or malware; engage in automated use of the system; impersonate others; interfere with the Services; copy or reverse engineer our software.
The Services may invite you to contribute content. Contributions may be viewable by other users. When you make Contributions, you represent that they do not infringe any proprietary rights, you are the creator and owner, they are not false or misleading, not spam, not obscene or objectionable, do not ridicule or abuse anyone, and do not violate any applicable law.
By posting Contributions, you grant us an unrestricted, unlimited, irrevocable, perpetual, non-exclusive, transferable, royalty-free, fully-paid, worldwide right and license to use, copy, reproduce, disclose, sell, publish, broadcast, store, perform, display, reformat, translate, transmit, excerpt, and distribute such Contributions for any purpose. You retain full ownership of your Contributions.
If you access the Services via the App, we grant you a revocable, non-exclusive, non-transferable, limited right to install and use the App on devices you own or control.
We reserve the right to: monitor the Services for violations; take legal action against violators; refuse, restrict access to, or disable Contributions; remove excessive files; and manage the Services to protect our rights and property.
We care about data privacy and security. By using the Services, you agree to our Privacy Policy. The Services are hosted in the United States.
We respect intellectual property rights. If you believe material infringes your copyright, please notify us immediately.
These Legal Terms remain in effect while you use the Services. WE RESERVE THE RIGHT TO DENY ACCESS TO THE SERVICES TO ANY PERSON FOR ANY REASON WITHOUT NOTICE OR LIABILITY.
We reserve the right to change, modify, or remove the contents of the Services at any time without notice. We cannot guarantee the Services will always be available.
These Legal Terms are governed by the laws of the State of California.
The Parties agree to first attempt to negotiate any Dispute informally for at least thirty days. Any dispute arising shall be determined by arbitration. The seat of arbitration shall be Warsaw, Poland.
We reserve the right to correct errors, inaccuracies, or omissions and to change or update information on the Services at any time without prior notice.
THE SERVICES ARE PROVIDED ON AN AS-IS AND AS-AVAILABLE BASIS. YOUR USE IS AT YOUR SOLE RISK. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED.
IN NO EVENT WILL WE BE LIABLE FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICES.
You agree to defend, indemnify, and hold us harmless from any loss, damage, liability, claim, or demand arising out of your Contributions, use of the Services, breach of these Legal Terms, or violation of third-party rights.
We will maintain certain data you transmit to the Services. You are solely responsible for all data that you transmit.
Visiting the Services, sending us emails, and completing online forms constitute electronic communications. You consent to receive electronic communications from us.
If any complaint is not satisfactorily resolved, contact the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs at 1625 North Market Blvd., Suite N 112, Sacramento, California 95834 or (800) 952-5210.
These Legal Terms constitute the entire agreement between you and us. Our failure to exercise any right shall not be a waiver of such right.
